Requirements

Education

Graduate from ICSB or possess an equivalent professional qualification in Corporate/Company Secretarial Practice. An LL.B. degree alongside the ICSB qualification will be preferred.
Minimum 6-8 years of relevant experience in Company Secretarial, Corporate Governance, Share Management and legal functions.

Additional Requirements

Experience in large local or multinational organizations, with exposure to shareholders and regulatory affairs

Strong knowledge of company law, corporate governance, SEC/CDBL regulations, stakeholder management, and excellent communication and analytical skills. 

Technical Skills

Good communication and Reporting skills.

Relationship building.

Strong problem solving and analytical ability.

Maintain high standard of documentation.

Ability to work under pressure with deadlines.

Timely completion of the assigned job to meet various targets (Group & local), is also a challenge for the job, where time is a limiting factor.

High level of integrity, accountability, professionalism, and leadership in managing corporate governance and stakeholder-related matters. 

Responsibilities & Context

Ensure efficient servicing of shareholders as `on-going’ needs and manage Company secretarial matters

Register share transfer and maintain computerized members` register

Manage relationships with institutional investors, analysts, shareholder associations and regulators.

Reconciliation of dividend payment with the bank statements fully and preserve the documents

Tax deduction from dividends and deposit to treasury.

Issue tax deduction certificates to the shareholders from which deductions take place.

Ensure compliance with the BSEC Corporate Governance Code and other applicable laws and regulations.

Arrange Board Meetings, Audit Committee Meetings, Nomination & Remuneration Committee (NRC) Meetings, AGM and EGM.

Prepare and circulate Board and Committee agendas, notices, papers and meeting materials.

Draft, maintain and preserve minutes and resolutions of Board and Committee meetings.

Monitor implementation of Board decisions and follow up on action items.

Maintain statutory registers, records and corporate documents as required under applicable laws

Ensure compliance with applicable provisions of the Companies Act, Securities and Exchange regulations, Listing Regulations and Corporate Governance requirements.

Ensure timely submission of all statutory returns, disclosures and filings to regulatory bodies.

Monitor regulatory developments and advise management and the Board on new legal and compliance requirements.

Coordinate inspections, inquiries and correspondence with regulators.

Review events and transactions to determine disclosure requirements.

Ensure timely disclosure of Price Sensitive Information (PSI) and Material Information to stock exchanges and regulators.

Coordinate publication of stock exchange notices, shareholder notices and regulatory announcements.

Handle shareholder queries, complaints and requests efficiently and within prescribed timelines.

Coordinate investor briefings, AGM presentations and shareholder communication activities.

Facilitate voting and shareholder participation during AGMs and EGMs.

Coordinate preparation and publication of the Annual Report.

Prepare the Corporate Governance Compliance Report and related disclosures.

Maintain electronic and physical statutory records and company secretarial databases.

Ensure secure retention of Board papers, minutes, resolutions and shareholder records.
