Responsibilities & Context

Uttara Finance and Investments Limited, one of the leading joint venture leasing and financial companies in the country is looking for a dynamic and experienced professional for the position of Company Secretary.

Job Responsibility:

  • Ensure compliance with corporate laws and regulations. (BSEC, DSE, CSE,CDBL and RJSC)Maintain and update
  • statutory registers and records.
  • File necessary documents with regulatory authorities, such as the Registrar of Joint Stock Companies and Firms.
  • Organize and prepare agendas for board meetings and annual general meetings (AGMs/EGM), NRC and Audit
  • Committee. Supervising filing of statutory returns to regulatory authorities.
  • Take minutes of meetings, Notice, PSI and annual reports etc. and ensure timely distribution.
  • Advise the board on governance and compliance issues.
  • Implement corporate governance practices.
  • Ensure the company adheres to its articles of association.
  • Monitor changes in relevant legislation and the regulatory environment.
  • Act as the primary point of contact between the board, shareholders, and regulatory authorities.
  • Facilitate communication between the board and other stakeholders.
  • Maintain records of resolutions, contracts, and other important documents.
  • Ensure the safekeeping and confidentiality of company documents.
  • Manage shareholder correspondence.
  • Maintain the shareholder register and handle transfers of shares.
  • Prepare and submit monthly reports (RT14) to BSEC, DSE, and CSE.
  • Develop and implement policies and procedures to ensure effective governance.
  • Review and update corporate policies as needed.
  • Identify and mitigate legal and regulatory risks.
  • Work with BAPLC Liaison with newspaper office and journalists.
  • Any other activities as assigned by the Board of Directors.

Job Location: Tejgaon (Head Office), Dhaka
