  • At least 2 to 3 years at any reputed public limited FMCG Company in related field.
  • Working knowledge in the areas of corporate affairs Accounts, Finance, Audit, Income Tax, VAT, Customs and Excise.
  • Must have good knowledge in Income Tax Ordinance 1984, Companies Act 1994, Securities and Exchange Commission Act, Ordinance, Rules and Regulations
  • Excellent analytical, problem-solving and critical-thinking skills;
  • Attention to detail in data checking;
  • Strong analytical and communication ability;
  • Good knowledge in Computer specially in ERP, MS Office, Internet etc.
  • Good command in Bengali and English;
  • Able to work independently, in a team and under pressure;
  • Should be self-driven, result oriented, hardworking;
  • High level of professional integrity and commitment to maintain confidentiality.

Responsibilities & Context

  • Assist to ensure maintenance of good corporate governance;
  • Organize and maintain database of all documents under Corporate affairs;
  • Calculation of share, divided / bonus share, cash/ fraction Dividend accurately;
  • Redemption of debenture and conversion of share;
  • Timely reconciliation of dividend, share certificates and demat share certificates;
  • Assist in transferring and transmission of share certificates;
  • Timely distribution of dividend and other entitlements of shareholders;
  • Timely sharing of information with all shareholders;
  • Ensure all board members are properly constituted and provided with clear terms of reference;
  • Prepare year wise Unclaimed Dividend Statement;
  • Assist for share Conversion and share Demat realization;
  • Assist to prepare Monthly shareholding Report for BSEC & Stock Exchanges;
  • Assist to prepare Schedule -X, Form -XII, obtain Form -23B from newly appointed auditors for prepare Annual Returns to submit RJSC;
  • Year wise Bank Reconciliations / Dividend Reconciliation;
  • Prepare and accumulate the documents for submission to the authority as required to be submitted for and on behalf of the company;
  • Maintain records properly of AGM, Board Meetings, Committee Meetings, resolution and documents regarding Company affairs;
  • Prepare and maintain meeting minutes and all business letters, notices and other official publications to be issued from Company Secretariat;
  • Assist in composition of shareholdings for Annual Report (DSE & CSE requirement);
  • Follow and comply with securities laws, Securities related Ordinance, Act, Rules and Regulations, The Companies Act,1994, Income Tax Ordinance, 1984, VAT Act, 2012, IFRS (BFRS) Standards;
  • Maintain liaison with BSEC, DSE, CSE, CDBL, RJSC, PAPLC, Ministry of Industry, Department of Labor and any other regulatory authorities as per Corporate as well as Management requirement.
