Requirements

  • Proficiency in legal research, drafting legal documents, and using legal databases and software tools.
  • Proven experience (3 years) working in a legal Division, with a focus on agreement vetting, preferably in a corporate or commercial setting.

Responsibilities & Context

Responsibilities :

Agreement Vetting:

  • Thoroughly review and analyze a wide range of agreements, including but not limited to contracts, leases, licenses, MOUs, and NDAs, to identify potential legal risks and ensure compliance with applicable laws and regulations.
  • Assess the terms, conditions, and clauses of agreements to safeguard the organization’s interests and mitigate legal and financial risks.
  • Provide legal advice and recommendations to internal stakeholders on agreement terms, potential risks, and negotiation strategies.

Legal Compliance:

  • Stay updated on relevant laws, regulations, and industry standards to ensure the organization’s agreements adhere to legal requirements.
  • Conduct legal research and analysis to address any legal issues or concerns arising from agreement vetting processes.

Negotiation Support:

  • Collaborate with internal departments, external legal counsel, and external parties to negotiate and finalize agreements that align with the organization’s objectives while protecting its interests.
  • Participate in negotiations as needed, providing legal guidance and expertise to achieve favorable outcomes.

Documentation and Record-keeping:

  • Prepare and maintain accurate documentation related to agreement vetting processes, including summaries, reports, and correspondence.
  • Establish and maintain a centralized repository for agreements, ensuring accessibility and organization of relevant legal documents.

Risk Management:

  • Identify, assess, and mitigate legal and contractual risks associated with agreements, proactively proposing solutions and risk mitigation strategies.
  • Develop and implement standardized processes and templates for agreement vetting to enhance efficiency and consistency.
