Responsibilities & Context

  • Responsibilities & Context
    This position requires a solid knowledge and hands-on secretarial experience of the Board, Company Affairs and Regulatory affairs.
  • The incumbent will act as a change agent to accelerate organizational development and overall transformation. I
  • t requires to provide advice to the Board of Directors on corporate governance matters and compliance.
  • The Organization Secretary ensures that all registers and records required to be held at the registered office are present, accurate and up to date of the company.
  • The company seeks a talented and aspiring candidate who would join our team and meaningfully contribute to the efforts to reach the organization’s goal.
  • Arranging Sponsorship from different organization when needed.
  • Arranging rally all over the city or country & media coverage.
  • Provide handbook to 64 district zonal head.
  • Arranging Board meeting with the consent of the Executive committee and also arrange General meeting of the Executive committee as and where necessary.
  • Ensuring timely circulation of notice and Board working papers to the Executive committee for Board meeting.
  • Ensuring recording of minutes of the Board meeting and that of the General meeting of the Executive committee.
  • Providing guidance and activities to the Board Members in discharging their duties and responsibilities under the rules and regulations to which they are subject.
  • Signing contracts, agreements and lease documents on behalf of the Executive committee.
  • Circulate the relevant part of the decisions of the Board to the respective officials of the organization for implementation.
  • Arranging to keep records and documents related to Board meeting and General meetings of the Executive committee.
  • Directing and providing functional guidance to the subordinate officials in performing their responsibilities.
  • Ensuring maintenance of good corporate governance through monitoring, advice and reporting.
  • Arranging publication of in the press media and circulation of Annual Reports in timely manner.
  • Arranging timely submission of statutory and regulatory reports and ensure compliance.
  • Arranging timely renewals of regulatory required licenses, permissions, quarterly reports etc.
  • Carryout any other duties as directed by the management from time to time.
  • Maintain the schedules and diary of the Executive committee and ensure all appointments and meetings are updated.
  • Prepare and monitor daily program for them, when necessary.
  • Dealing with incoming email, faxes and post, often corresponding on behalf of them.
  • Screen all telephone calls, faxes and passed on messages as required.
  • Prepare and send different business letters to different overseas and local companies as per instruction.
  • Ensure filing, mailing drafting on different issues.
  • Make necessary appointments, when required.
  • Maintain contacts database for them.
  • Prepare correspondence on behalf of the CEO& Executive committee including the drafting of general replies.
  • Provide protocol service, Visa, Air Ticket booking, Hotel reservation related activities for them as and when necessary.
  • Contact with concern Govt. and non-Govt. offices for any documentation purpose, if necessary.
