- Must have good knowledge of Civil Law, Company Law, Criminal Law, Land Acquisition Law, Contract Act, Registration Act, Cr PC, Penal Code, Labor Law & Rules with amendments and govt. Circular.
- Strong analytical skills with the ability to identify legal risks and propose solutions.
- Excellent communication and interpersonal skills.

Responsibilities & Context
Job Context: We are looking for a Sr. Officer, Legal & Admin Department, who will handle all sorts of Legal & Land, Corporate Affairs, and issues of Noman Group of Industries, with proper reporting to the Group Legal and Admin department and Management as and when required.
Job Responsibilities:
1. Prepare and scrutinize (national/ international) legal documents like Agreement, MOU, Power of Attorney, Undertaking, Legal Notice, opinion etc., Legal Vetting of Land Documents including physical verification of records with concerned land office/AC (Land), Prepare Baina Deed, Sale Deed, Mortgage Deed, POA, Redemption, Revocation and register the same with concerned registering authority, mutation, ensure the payment of Land Development Tax/Local Government/ Ground Rent/ Holding Tax etc.
2. Communication with the external lawyer(s) to represent and defend litigation (Civil/Criminal) procedure (upon consultation with the management) including Labour Issues protecting the Company’s best interest in any proper Court of Justice.
3. Dealing with all sorts of Corporate Affairs issue including liaison with various Government/Non-Government offices for permission, Licensing, approval, renewal etc., including sale/transfer permission.
4. Drafting Memorandum of Association and Article of Association, name clearance and filling the same with Registrar of Joint Stocks and Companies (RJSC) in regard new company incorporation, share transfer, return submission etc.
5. Dealing entire trade mark issue like Trade Mark registration, Patent, Design and Trademark (DPDT) registration including intellectual property rights registering the same with appropriate authority.
6. Perform legal formalities for credit /payment recoveries as required.
7. Liaison with the concerned offices in requirement to the Map/Record/Layout etc.
8. Liaison with various govt. and non govt. organization such as DC office, RJSC, DPDT, RAJUK, RBSTI, BIDA, NBR, DUDOK, Environment, AC (Land) office, Tahshil office, Sub-Registry office, RAJUK, REHAB, Ministry of Housing & Public Works, National Housing Authority etc.
9. Liaison with Thana in regard to GD, FIR, warrant execution etc. all over the Country on behalf of the Company.
10. To preserve and keep up to date entire litigation/case files, Land files of the Company in proper manner.
11. Assisting to prepare AGM, EGM, Meeting Minutes etc..Appearing before Police Station, Proper Court, Tribunal, Ac (Land), Labour Court, Department of Inspection for Factories and Establishment on behalf of the Company.
12. Prepare legal notices, General Diary (GD), Complaints, petitions, written statements, written objections, replies to legal notices and relevant show cause and all other drafting’s in Bengali and English.
13. Good knowledge of land registration, land ownership, land-related, measurement, land mutation, land tax, Porcha, land related papers/documents and other assets papers/documents and selling/buy procedures as per Bangladesh Govt. rules & regulations.
14. Good understanding of passport & Visa application process, documentation requirements and Embassy Formalities.
15. Looking after present and upcoming projects of the Company.
16. Other duties and responsibilities as entrusted by the management time to time.
