Additional Requirements

  • Minimum Level of Education: Bachelor’s degree in Finance/Accounting/Business or related field, Master is a plus.
  • Must completed Chartered Accountancy Course “CA (CC)” under ICAB (Institute of Chartered Accountants of Bangladesh).
  • Minimum 2 years’ corporate experience.
  • The applicants should have knowledge in the areas of corporate affairs Accounts, Finance, Audit, Income Tax, VAT, Customs and Excise.
  • Strong analytical and data gathering skills.
  • Excellent communication skills in Bangla & English, both verbally and in writing.
  • Proven track record driving multiple streams of work – from brief through creative development to execution.
  • Ability to extract insights from multiple data sources, and make informed, strategic decisions.
  • Must have good knowledge in Income Tax Ordinance 1984, Companies Act 1994, Securities and Exchange Commission Act, Ordinance, Rules and Regulations, Custom Excise and VAT law, Insurance Law, Contract Act 1872, Partnership Act 1932 and other Business laws.
  • Strong IT skills, including Microsoft Word, Excel, PowerPoint and Outlook and familiarity with using social media in a professional context.
  • Willing to travel as and when required.
  • Acute attention to detail.
  • Strong organizational, prioritizing, and multitasking skills.
  • Strong understanding of the need for discretion in handling sensitive information and the judgment to know what can/must be shared and with whom, and what should not.
  • Confident working independently, able to get to grips with new areas of work enthusiastically and on own initiative and to priorities competing and complex demands.
  • Proven ability to make good decisions in a fast-moving environment.

Responsibilities & Context

  • Ensure compliance with Companies Act 1994, Income Tax Act 2023, VAT and SD Act 2012, Contract Act 1872, Securities Related Ordinance, Act, Rules & Regulations, and other statutory requirements.
  • Ensure maintenance of good corporate governance through monitoring, advice, and reporting.
  • Follow up with the Corporate and legal professionals of the companies under Sheba Group.
  • Prepare and accumulate the documents for submission to the authority as required to be submitted for and on behalf of the companies under Sheba Group.
  • Ensure all board members are properly constituted and provided with clear terms of reference.
  • Assist in preparation of agreements as may be required which may also include liaison with legal counsel.
  • Keep under close review all legislative, regulatory, and corporate governance developments that might affect the Company’s operations, and ensure the Board is fully briefed on these and that it has regard to them when taking decisions.
  • Maintain records properly of AGM, EGM, Board Meetings, Committee Meetings, resolution, documents regarding Company affairs and preparation and maintain of meeting minutes and all business letters, notices and other official publications to be issued from Company Secretariat.
  • Ensure that the Company’s activities are regularly complying with its Memorandum and Articles of Association, Companies Act 1994, Securities Related Ordinance, Act, Rules & Regulations and other related Laws.
  • Organize and maintain database of all documents under Corporate affairs
  • Ensure the safe custody and proper use of any Company’s documents and seals.
  • Ensure effective Tax and VAT planning within current legislation.
  • Ensure preparation and Submission of companies’ Annual Returns, Particulars of Directors, monthly VAT return, Bangladesh Bank Return and Income Tax return and also withholding Tax Returns.
  • Ensure regulatory compliance in VAT, TAX and Corporate affairs.
